Terms of Service

These Terms of Service ("Terms") govern your access to and use of Binnacle AI ("Binnacle", "we", "us"), a maritime crew compliance platform operated by Bluewave Projects ("Company"). By accessing or using Binnacle you agree to these Terms.

1. Service description

Binnacle AI provides software tools for tracking U.S. Coast Guard (USCG) crew credentials, vessel compliance status, and regulatory changes for commercial maritime operators. We provide tools to help operators manage compliance; we do not guarantee compliance outcomes. The operator remains solely responsible for meeting all applicable USCG and federal, state, and local regulations.

2. Accounts and eligibility

You must be at least 18 years old and authorized to contract on behalf of the operator or business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at security@binnacleai.com of any unauthorized access.

3. Subscriptions and fees

Binnacle is offered on a subscription basis. Fees are billed in advance, are non-refundable except as required by law, and recur on the billing cycle you select (monthly or annual). You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change prices with 30 days' notice.

4. Your data

You retain all rights to the data you upload to Binnacle, including crew records, vessel data, and uploaded documents ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the service. We process personal data according to our Privacy Policy. On termination you may export your data for 30 days before we delete it.

5. USCG and third-party data

Binnacle queries the USCG National Maritime Center's public credential verification system and the Federal Register to return regulatory data. We are not affiliated with or endorsed by the USCG or any federal agency. Data returned from third-party sources is provided "as is" and may be out of date, incomplete, or subject to change. Always verify critical compliance data with the relevant authority.

6. Acceptable use

You agree not to:

• Use Binnacle to evade, obscure, or falsify compliance obligations
• Upload credentials or documents for individuals without authorization
• Reverse engineer, scrape, or resell the service without written permission
• Use Binnacle to provide services substantially similar to Binnacle to third parties
• Transmit malicious code, attempt to breach security, or interfere with other users

7. Service availability

We target 99.9% monthly uptime but do not guarantee uninterrupted service. Scheduled maintenance and third-party outages (including the USCG or Federal Register systems) may cause temporary unavailability.

8. Disclaimers

Binnacle is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements or be error-free.

9. Limitation of liability

To the maximum extent permitted by law, our total liability under these Terms will not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim or (b) $1,000. We are not liable for lost profits, lost revenue, lost data, or indirect, special, or consequential damages.

10. Termination

Either party may terminate these Terms for material breach with 30 days' notice if the breach is not cured. We may suspend or terminate your access immediately for non-payment or violation of Section 6 (Acceptable use).

11. Governing law

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Honolulu, Hawaii.

12. Changes

We may update these Terms from time to time. Material changes will be announced with at least 30 days' notice by email or in-app notification before they take effect.
